Global leader in banking technology, Temenos AG (SIX: TEMN), announced that it has entered into a definitive agreement to acquire our portfolio company, additiv AG (“additiv”).

Aperture Capital first invested in additiv in 2020 and we have followed on in every round since. From the outset, we shared the conviction of additiv’s Founder, Michael Stemmle, that the unbundling of financial service manufacturing from distribution would create a platform opportunity to orchestrate seamlessly between product manufacturers and distribution channels.

And we are grateful and proud to have played a role as both an investor and a go-to-market operating partner in helping additiv to position its value proposition and scale its impact and growth over that time.

Today, additiv counts major institutions such as AXA, NatWest and Crédit Agricole among its customer base, using its platform to rapidly design, source, and launch propositions across wealth management, credit and insurance, seamlessly orchestrated into one unified experience.

Systems of Intelligence thesis

We have first issued our Systems of Intelligence thesis in 2019, which we revisited in 2025 to account for the advent of GenAI. We argued that the banking software market is reconfiguring around the demands of the digital economy, and value is accruing to new systems of intelligence, a new architectural layer, to mediate between customer channels (systems of interaction) and their book-keeping systems (systems of record).

Our original 2019 'System of Intelligence in Fintech' thesis has been strongly validated by recent market activity. Notably, two of our key portfolio companies have successfully exited: additiv was acquired by Temenos, and Metaco, an orchestration platform for digital asset custody solutions, was acquired by Ripple in 2023 for $250M.

With the advent of GenAI, we see new interaction channels, faster replacement cycles, as well as UIs disappearing altogether. Proprietary data becomes more important and, as a result, the systems that hold these, systems of record, remain fundamental. But as we wrote in our 2025 revised thesis, “systems of record require orchestration through systems of intelligence. This is because systems of intelligence hold the business logic that allows them to orchestrate services that are both internal and external to a company. This allows them to adapt to changes in user interaction [...] as well as to facilitate the working of stateful AI agents, able to manage complex tasks with asynchronous execution.

When additiv was first designed, its mission was clear: act as the middleware bridging systems of record and systems of interaction for wealth managers. It gave advisors and clients a seamless, omni-channel experience.

But the team built something far more adaptable. That same core architecture mapped perfectly onto the embedded finance boom, allowing them to effortlessly swap internal systems for external distribution networks and product manufacturers. Fast forward to today, and that headless architecture is paying off yet again. With its powerful orchestration logic, additiv is now perfectly positioned to leverage GenAI and drive the next wave of process automation.

Proven AI-enabled orchestration layer

For Temenos, the additiv platform will give a lot of optionality. As their press release states, the acquisition “further strengthens Temenos’ offering in Wealth Management with native mass-affluent capabilities and a proven AI-enabled orchestration layer.”

But in addition, because the additiv platform has deep domain logic and aggregates and semantically transforms data, it “will enable financial institutions to increasingly automate processes using AI agents with the right controls and governance.”

The strategic fit is compelling, the cross-selling opportunity across the Temenos base is significant, and we’re excited for additiv’s next act.

Congratulations to Michael Stemmle, Nils Frowein and the additiv team on their successful exit!
